TERMS OF SERVICE

Welcome to Studio Melencion. These Terms of Service explain the terms that apply when you visit our website, book our services, or work with Studio Melencion LLC ("Studio Melencion," "we," "us," or "our").

Studio Melencion currently provides interior design, virtual design, professional organizing, and short-term rental furnishing & styling services. Additional services may be introduced in the future and may be governed by separate terms or service agreements.

By booking or using our services, you acknowledge that you have read, understood, and agreed to these Terms of Service.

1. OUR SERVICES

Studio Melencion provides creative and design-related services tailored to each client's space, goals, and needs.

Our current services include:

  • Interior Design

  • Virtual Design

  • Professional Organizing

  • Short-Term Rental Furnishing & Styling

Studio Melencion may also provide related design consulting, styling, sourcing, and creative services when included in the agreed scope.

The specific services, deliverables, fees, timeline, and responsibilities for your project will be outlined in your proposal, service agreement, invoice, booking page, or other written agreement.

Not every service includes purchasing, procurement, installation, construction management, project management, contractor coordination, or other third-party services. These services will only be provided when specifically included in the agreed scope.

2. SERVICE AGREEMENT & SCOPE OF WORK

Before work begins, Studio Melencion may provide a proposal, service agreement, invoice, or other written description of the project.

That document will establish the specific scope of services and will control if it contains terms that are specific to your project.

Services requested outside the agreed scope may require an additional fee and may affect the project timeline.

Studio Melencion will not be responsible for work, services, purchases, or deliverables that were not included in the agreed scope.

3. CLIENT RESPONSIBILITIES

Successful projects require cooperation from both Studio Melencion and the Client.

Clients agree to:

  • Provide accurate information, measurements, photographs, floor plans, and other information requested for the project.

  • Provide reasonable access to the property when in-person services are required.

  • Communicate decisions and approvals within a reasonable timeframe.

  • Review designs, recommendations, and product selections before approving them.

  • Notify Studio Melencion of known property conditions, restrictions, hazards, or other circumstances that may affect the project.

  • Make timely payments according to the agreed payment schedule.

  • Provide a reasonably safe and accessible working environment when in-person services are provided.

Studio Melencion may rely on information provided by the Client unless verification of that information is specifically included in the scope of services.

For virtual design projects, the Client is responsible for providing accurate measurements and information unless Studio Melencion has expressly agreed to verify them.

4. COMMUNICATION & PROJECT DELAYS

Timely communication is an important part of the design process.

Client delays in providing information, approvals, measurements, access, or decisions may affect the project timeline.

Studio Melencion is not responsible for delays caused by the Client, vendors, manufacturers, shipping companies, contractors, installers, or other third parties.

If a project becomes inactive because the Client does not respond or provide required information for an extended period, Studio Melencion may place the project on hold or close the project in accordance with the applicable service agreement.

Additional work or reactivation of a closed or substantially delayed project may require additional fees.

5. FEES & PAYMENTS

All fees will be communicated to the Client before services begin.

Payment schedules may vary depending on the service and will be stated in the applicable proposal, invoice, booking page, or service agreement.

A project date or service appointment is not considered confirmed until any required deposit, retainer, or payment has been received.

Late or unpaid balances may result in:

  • Delayed services

  • Suspension of work

  • Rescheduling

  • Cancellation of the project

  • Additional administrative or collection fees where permitted by law

The Client remains responsible for approved purchases and other expenses incurred on the Client's behalf.

6. CANCELLATIONS, RESCHEDULING & REFUNDS

Because Studio Melencion provides customized services and reserves time specifically for each Client, cancellation and refund policies may vary by service.

Any applicable cancellation, rescheduling, deposit, and refund terms will be provided in the applicable proposal, service agreement, booking page, or invoice.

Unless otherwise stated in writing, fees for work already performed, time already reserved, products already purchased, and non-refundable third-party charges are not refundable.

If a project is cancelled after work has begun, the Client may remain responsible for fees and expenses incurred through the date of cancellation.

7. DESIGN PROCESS & CREATIVE DIRECTION

Studio Melencion provides professional creative direction based on the Client's goals, preferences, property, budget, and agreed scope.

Design concepts, layouts, furniture selections, materials, colors, styling recommendations, and organizational solutions are recommendations developed specifically for the project.

The Client has the final decision regarding whether to approve and implement recommendations.

Once a design or purchase has been approved by the Client, Studio Melencion is not responsible for dissatisfaction resulting from a decision that the Client approved.

8. REVISIONS & CHANGES

The number of revisions included in a project will be stated in the applicable proposal or service agreement. A revision is an adjustment made within the approved design concept, such as swapping a furniture piece, refining a finish, or adjusting accessory placement. Changes to the floor plan, spatial layout, or overall design direction are not considered revisions and will be scoped and quoted separately.

Requests beyond the included revisions or changes to an approved design may require additional fees. Changes may also affect product availability, pricing, shipping and project timelines. Significant changes to the project scope may require a revised proposal or written approval before additional work begins.

9. FURNITURE, PRODUCTS & PROCUREMENT

When Studio Melencion assists with sourcing or purchasing furniture, accessories, materials, or other products, the Client understands that products may be subject to:

  • Price changes

  • Availability changes

  • Discontinuation

  • Backorders

  • Manufacturing delays

  • Shipping delays

  • Freight charges

  • Damage during transportation

  • Manufacturer defects

  • Vendor policies

  • Restocking or return fees

Product availability and estimated delivery dates are not guaranteed unless expressly stated otherwise.

Studio Melencion is not responsible for delays, defects, discontinued products, or other issues caused by manufacturers, vendors, shipping companies, or other third parties.

When Studio Melencion handles procurement on the Client's behalf, the Client is responsible for approved product costs, applicable taxes, shipping, freight, receiving, storage, delivery, installation, and other applicable charges unless otherwise stated in writing.

10. DELIVERY, INSTALLATION & CONTRACTORS

Studio Melencion may recommend or coordinate with delivery companies, installers, handymen, contractors, subcontractors, tradespeople, or other service providers when included in the scope of work.

These third parties are independent providers.

Studio Melencion does not control their:

  • Workmanship

  • Means or methods

  • Safety practices

  • Scheduling

  • Staffing

  • Installation procedures

  • Completion dates

Studio Melencion is not responsible for the acts, omissions, negligence, delays, workmanship, or performance of independent contractors, installers, vendors, delivery companies, or other third parties.

Studio Melencion does not provide construction services unless specifically stated in writing.

Studio Melencion does not assume responsibility for building code compliance, structural conditions, electrical, plumbing, HVAC, engineering, architectural, or other specialized construction matters unless specifically included in a written agreement and performed by an appropriately qualified professional.

11. EXISTING CONDITIONS & PROPERTY INFORMATION

Design recommendations are based on the information and conditions reasonably available to Studio Melencion at the time services are provided.

Studio Melencion is not responsible for undisclosed or hidden conditions, including but not limited to:

  • Structural issues

  • Water damage

  • Mold

  • Pest issues

  • Electrical problems

  • Plumbing problems

  • HVAC problems

  • Unsafe conditions

  • Improper construction

  • Existing damage

If Studio Melencion becomes aware of a condition that may affect the safety, feasibility, or scope of the project, we may recommend that the Client consult an appropriately qualified professional.

12. PROFESSIONAL ORGANIZING

Professional organizing services are intended to help improve the function, organization, and usability of a space.

Clients remain responsible for decisions regarding their personal belongings, including what is kept, donated, discarded, sold, or relocated.

Studio Melencion will not intentionally discard, donate, sell, or remove Client property without appropriate authorization.

Clients should identify valuables, confidential documents, fragile items, hazardous materials, or other items requiring special handling before services begin.

Studio Melencion may pause or decline services if conditions are unsafe or unsuitable for the work being performed.

Studio Melencion is not responsible for pre-existing damage, normal wear and tear, concealed defects, or damage resulting from the condition of an item or property.

13. SHORT-TERM RENTAL FURNISHING & STYLING

Short-term rental furnishing and styling services are intended to improve the functionality, appearance, comfort, and guest experience of a property.

Studio Melencion may provide recommendations regarding furniture, accessories, room layouts, styling, and other furnishings based on the agreed scope.

The Client remains responsible for:

  • Property ownership or authorization to make changes

  • Property rules and restrictions

  • HOA or community requirements

  • Local regulations

  • Building requirements

  • Guest safety and property operations

  • Final approval of purchases and recommendations

Studio Melencion does not provide legal, property-management, hospitality, insurance, building-code, or safety compliance services unless expressly agreed in writing.

14. PHOTOGRAPHY & PORTFOLIO USE

Studio Melencion may photograph or record spaces, projects, furnishings, styling, and completed work for documentation, portfolio, website, social media, marketing, educational, and promotional purposes.

Photography may be included as part of a Studio Melencion design, organizing, or furnishing project even when photography is not purchased as a separate service.

Standalone interior and real estate photography services are currently launching soon and are not generally available for independent booking at this time. When offered as a standalone service, photography may be subject to additional service-specific terms.

Studio Melencion retains ownership of photographs and other original visual content created by Studio Melencion unless otherwise agreed in writing.

Unless otherwise agreed in writing, Studio Melencion may use photographs of completed work for portfolio and marketing purposes without identifying the Client by name or publishing the property's private address.

Studio Melencion will make reasonable efforts to avoid intentionally showing personally identifying or sensitive information in portfolio or marketing images.

Clients who do not wish to have images of their project used for portfolio or marketing purposes may request an opt-out in writing before the project is completed.

An opt-out request will not affect the Client's other contractual obligations or the completion of services.

When photography is provided as part of a design or furnishing project, photographs are intended to document and showcase the completed work and are not necessarily intended to serve as professional real estate listing photography unless specifically agreed in writing.

15. INTELLECTUAL PROPERTY

All original design concepts, drawings, layouts, moodboards, presentations, photographs, written content, templates, organizational systems, sourcing materials, and other creative materials created by Studio Melencion remain the intellectual property of Studio Melencion unless otherwise agreed in writing.

Upon full payment, the Client receives permission to use the final design materials for the Client's personal use and for the specific property for which they were created.

The Client may not reproduce, resell, distribute, publish, modify for commercial purposes, or use Studio Melencion's materials to provide services to others without written permission.

Studio Melencion retains the right to use its own creative work for portfolio, marketing, educational, and promotional purposes as described in these Terms.

16. THIRD-PARTY SERVICES

Studio Melencion may recommend vendors, contractors, installers, delivery companies, tradespeople, retailers, manufacturers, or other third parties.

Recommendations are made in good faith based on available information and experience.

The Client understands that third-party providers are independent businesses and that Studio Melencion does not guarantee their performance, pricing, availability, workmanship, warranties, or results.

Any warranty or claim involving a third-party product or service may need to be handled directly with the applicable vendor, manufacturer, contractor, or service provider.

Studio Melencion may assist with communication or coordination when included in the agreed scope but does not guarantee the outcome of a third-party claim.

17. CLIENT-APPROVED PURCHASES

Once the Client approves a product or purchase, the Client is responsible for the associated costs and any applicable non-refundable fees.

Studio Melencion is not responsible for a Client's change of mind after a product has been ordered, unless otherwise required by applicable law or agreed in writing.

Returns and exchanges are subject to the applicable vendor's policies.

Restocking fees, return shipping, cancellation charges, and other vendor-imposed costs may be the Client's responsibility.

18. CONFIDENTIALITY & PRIVACY

Studio Melencion respects the privacy of its Clients.

Information provided by a Client will be used as reasonably necessary to provide services, communicate about the project, process purchases, coordinate with vendors, and operate the business.

Studio Melencion does not sell Client information.

Our Privacy Policy provides additional information regarding website data and privacy practices.

Clients should avoid providing unnecessary sensitive personal information through ordinary email, website forms, or other unsecured communication methods.

19. PROFESSIONAL RELATIONSHIP & CONDUCT

Studio Melencion is committed to maintaining a respectful and professional working relationship with Clients.

We reserve the right to refuse, pause, or terminate services when a Client engages in abusive, threatening, discriminatory, harassing, unsafe, or consistently disrespectful behavior, or when continuing the project would create an unreasonable risk to Studio Melencion or others.

Any termination will be handled according to the applicable service agreement and applicable law.

20. LIMITATION OF LIABILITY

Studio Melencion will perform services with reasonable care and professionalism consistent with the nature of the services provided.

To the fullest extent permitted by applicable law, Studio Melencion is not responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.

Studio Melencion is also not responsible for losses resulting from circumstances outside our reasonable control, including vendor delays, shipping delays, product discontinuation, contractor performance, inaccurate information provided by the Client, hidden property conditions, or events beyond our control.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

Any additional limitation of liability applicable to a particular project may be stated in the Client's service agreement.

21. EVENTS OUTSIDE OUR CONTROL

Studio Melencion will make reasonable efforts to meet agreed timelines but does not guarantee completion dates when circumstances are outside our reasonable control.

These circumstances may include severe weather, natural disasters, illness, emergencies, supply-chain disruptions, vendor or manufacturer delays, shipping interruptions, labor shortages, utility interruptions, government actions, or other unforeseen events.

When reasonably possible, Studio Melencion will communicate material delays and work with the Client to establish a revised timeline.

22. TERMINATION

Either party may terminate a project according to the applicable service agreement.

Studio Melencion may terminate or suspend services when:

  • Required payments are not made;

  • The Client repeatedly fails to provide required information or approvals;

  • The Client substantially changes the scope without agreeing to additional fees;

  • The working relationship becomes unsafe, abusive, or unreasonably disruptive;

  • Continuing the project would violate applicable law or create an unreasonable risk.

Termination does not eliminate the Client's responsibility for amounts already earned, approved purchases, non-refundable expenses, or other obligations incurred before termination.

23. CHANGES TO THESE TERMS

Studio Melencion may update these Terms from time to time to reflect changes in our services, business practices, or applicable requirements.

The updated Terms will include a revised effective date.

The Terms in effect when a Client enters into a service agreement will generally govern that project unless the parties agree otherwise in writing.

24. GOVERNING LAW

These Terms will be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

25. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or removed to the extent necessary and the remaining provisions will continue to apply to the fullest extent permitted by law.

26. ENTIRE AGREEMENT

These Terms, together with the applicable proposal, service agreement, invoice and other written documents relating to your project, establish the agreement between Studio Melencion LLC and the Client for the applicable services.

If there is a conflict between these general Terms and a specific written service agreement, the specific service agreement will control for that project.
